1.Introduction and acceptance of terms
These Terms and Conditions (“Terms”) govern access to and use of the website, mobile applications, APIs and related services (collectively, the “Platform” or “EventTix Technology Limited”) operated by EventTix Technology Limited (“EventTix Technology Limited”, “we”, “us” or “our”).
Event Tix is an online event discovery and ticketing platform that connects people who wish to discover and attend events (“Attendees”) with individuals and organisations that create, publish and manage events (“Organisers”), and that supports Organisers in managing staff who assist with event check-in (“Event Staff”).
By accessing or using the Platform, creating an account, purchasing a ticket, creating or publishing an event, or otherwise using any part of the Platform, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, you must not access or use the Platform.
If you are using the Platform on behalf of a business, organisation, school, community or other entity, you represent that you have authority to bind that entity to these Terms, and “you” refers to both you and that entity.
2.Definitions
- Account means a registered user account on the Platform.
- Attendee means an individual who uses the Platform to discover events, purchase or hold tickets, and attend events.
- Event means any event, activity, show, class, conference or gathering listed, published or sold through the Platform.
- Event Staff means an individual authorised by an Organiser to assist with event operations, including check-in and ticket verification, via their own EventTix account.
- Order means a request by an Attendee to purchase one or more Tickets.
- Organiser means an individual, business, organisation, school, community, brand or other entity that creates, publishes, manages or sells tickets for an Event on the Platform.
- Ticket means a digital authorisation, including any associated unique code or QR code, issued through the Platform that evidences the right to attend an Event.
- User means any Attendee, Organiser, Event Staff member, or other person who accesses or uses the Platform, including Visitors.
- Visitor means a person who accesses the Platform without creating an Account.
3.The role of Event Tix
EventTix provides a technology platform that enables Organisers to create, publish, promote and sell tickets to Events, and enables Attendees to discover, purchase and access Tickets. Except where expressly stated otherwise, EventTix is not the organiser, host, producer or promoter of any Event and is not a party to the contract formed between an Organiser and an Attendee for attendance at an Event.
Each Event, including its content, description, safety, legality, conduct, cancellation, and any refund or exchange terms, is the sole responsibility of the Organiser that created it. EventTix does not review, verify or endorse Events, Organisers or the accuracy of Event listings, except to the extent described in clause 6 (Organiser account and verification) or as required by law.
4.Eligibility and accounts
Eligibility
You must be at least the age of legal majority in your jurisdiction, or have the consent of a parent or legal guardian, to create an Account or make a purchase on the Platform. By creating an Account, you represent that the information you provide is accurate, current and complete.
Account categories
The Platform supports several categories of Account, each subject to the additional terms set out in the corresponding section of these Terms:
- Attendee accounts (clause 5) — for individuals discovering and purchasing Tickets.
- Organiser accounts (clause 6) — for individuals, businesses and organisations creating and selling Events.
- Event Staff accounts (clause 7) — for individuals authorised by an Organiser to assist with check-in.
Account security
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account. You must notify us promptly of any unauthorised use of your Account or any other breach of security. Event Staff must use their own individual Account and must not share credentials with an Organiser or other staff, and Organisers must not require staff to use the Organiser’s own login credentials.
Account suspension or termination
We may suspend or terminate any Account, or restrict access to any part of the Platform, where we reasonably believe there has been a breach of these Terms, fraudulent or unlawful activity, risk to the security or integrity of the Platform, or where required by law.
5.Attendees — discovering and purchasing tickets
Browsing and discovery
Visitors and Attendees may browse, search and view public Event pages, including Event name, description, date and time, venue or location, ticket types, ticket prices and Organiser information, without creating an Account.
Placing an order
To purchase a Ticket, an Attendee will generally be required to create an Account or otherwise provide information such as full name, email address and phone number, select the Event, ticket type and quantity, and complete checkout. Prices and any applicable booking, service or processing fees will be displayed prior to completion of the Order.
Payment
Payment is processed by our third-party payment service provider(s). By submitting an Order, you authorise the applicable charge to your selected payment method. Depending on the payment architecture in use, EventTix may not directly store full payment card details; these may instead be held by the relevant payment provider. Orders are confirmed only once payment has been successfully verified.
Ticket issuance and use
On confirmation of an Order, the Attendee will receive a digital Ticket containing the information necessary for entry to the Event, including a unique ticket or QR code. Tickets are personal to the Attendee (or the person they are transferred to, where transfer is permitted by the Organiser) and must not be duplicated, resold in breach of these Terms or applicable law, or used for any unlawful purpose. EventTix and/or Event Staff will verify each Ticket at check-in, including whether it is genuine, belongs to the relevant Event, is valid, has already been used, or has been cancelled or refunded. A Ticket is marked as used once successfully checked in and may not be used again.
Cancellations, refunds and changes
Refund, exchange, transfer and cancellation terms are set by the Organiser for each Event, and will be displayed on the Event page or Order confirmation where available. Except as required by applicable consumer protection law, EventTix does not guarantee refunds for Tickets and, where EventTix processes a refund on an Organiser’s behalf, does so as a service to facilitate the Organiser’s own refund policy. If an Event is cancelled, postponed or materially changed by the Organiser, the applicable refund or exchange process will be communicated to Attendees, and EventTix will provide reasonable assistance in facilitating that process.
Attendee conduct at events
Attendees must comply with the venue rules, safety requirements and any conditions of entry communicated by the Organiser or venue. EventTix is not responsible for the conduct of other attendees, Organisers, venue staff or third parties at an Event.
6.Organisers — creating and managing events
Organiser account and verification
To create and publish Events, an Organiser must register an Organiser Account and may be required to complete a verification process, which may include providing individual identification information, business or organisation information, contact information, bank or payout information, and other information reasonably required for payment processing, fraud prevention, or legal and regulatory compliance. Requirements may differ between individual and business Organisers. We may decline to onboard, or may suspend, any Organiser that does not satisfactorily complete verification.
Creating and publishing events
Organisers are solely responsible for the accuracy, legality and completeness of all Event information they submit, including Event name, description, date and time, venue or location, category, images, ticket types, prices, quantities/capacity, and any Event-specific terms or restrictions. Organisers represent and warrant that they hold all rights, licences, permits and consents necessary to host the Event and to use any content (including images) uploaded to the Platform, and that the Event and its promotion comply with applicable law.
Ticket sales, fees and payouts
Organisers set ticket types, prices, quantities and capacity, subject to any Platform fees disclosed at the time of listing. EventTix will facilitate the collection of ticket sale proceeds and remit amounts due to the Organiser, net of applicable EventTix fees, taxes and any amounts withheld for refunds, chargebacks or verification purposes, in accordance with the payout schedule and arrangement communicated to the Organiser (the “Payout Arrangement”). We may withhold or delay a payout where necessary to investigate suspected fraud, comply with law, or manage chargeback and refund risk.
Managing attendees, staff and analytics
Organisers may access tools to monitor ticket sales, manage ticket types, view attendee and check-in information for their own Events, view Event analytics, and manage Event Staff. Organisers must only use Attendee information obtained through the Platform for purposes connected with the relevant Event and in accordance with applicable data protection law and our Privacy Policy, and must not use such information for unrelated marketing without the Attendee’s consent.
Organiser responsibility for event staff
Organisers are responsible for the actions of any Event Staff they invite or authorise, including ensuring that each staff member holds an individual Account, is assigned only to the Event(s) they are authorised to support, and does not misuse check-in or attendee information.
Organiser warranties and indemnity
Each Organiser agrees to indemnify and hold EventTix harmless from and against any claims, losses, liabilities, damages and expenses (including reasonable legal fees) arising out of or in connection with the Organiser’s Event, including its content, cancellation, conduct at the venue, or the Organiser’s breach of these Terms or applicable law.
7.Event staff
An Organiser may invite an individual to act as Event Staff for one or more specific Events. Event Staff must create or use their own individual EventTix Account and, once assigned to an Event, may access that Event’s check-in functionality, including scanning attendee QR codes and receiving a check-in result (such as valid, already used, invalid, cancelled, refunded, or wrong event).
Event Staff access is limited to the Event(s) to which they have been assigned and does not extend to the Organiser’s financial information, payout details, or unrelated Events. Event Staff must use check-in access solely for the purpose of verifying and admitting Attendees to the assigned Event, and must not copy, retain or share attendee information beyond what is necessary for that purpose.
8.Fees
EventTix charges fees for use of the Platform, which may include booking fees, service fees, payment processing fees and/or a percentage of ticket sale proceeds, as disclosed to Attendees at checkout and/or to Organisers at the time of Event creation or in a separate fee schedule. We may change our fees from time to time, with such changes applying to Events created or Orders placed after the change takes effect, unless otherwise required by law.
9.Prohibited conduct
You must not, and must not attempt to:
- Use the Platform for any unlawful purpose or in violation of these Terms;
- Create fraudulent Events, Orders, Accounts or Tickets, or engage in ticket touting, scalping or unauthorised resale in breach of applicable law or an Organiser’s stated policy;
- Duplicate, forge, tamper with or circumvent any Ticket, QR code or check-in process;
- Access or attempt to access another person’s Account, or Event Staff/Organiser tools you are not authorised to use;
- Use automated means (including bots or scrapers) to access the Platform or purchase Tickets other than as permitted by EventTix;
- Upload content that is unlawful, defamatory, infringing, discriminatory or that violates the rights of any third party;
- Interfere with, disrupt or attempt to gain unauthorised access to the Platform, its systems or networks; or
- Use information obtained through the Platform (including Attendee information) for any purpose other than as permitted by these Terms and applicable law.
10.Intellectual property
The Platform, including its software, design, text, graphics and trademarks (excluding Event content and other User-submitted content), is owned by or licensed to EventTix and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for its intended purpose.
Each User retains ownership of the content they submit (such as Event descriptions and images), but grants EventTix a worldwide, royalty-free licence to host, store, reproduce, display, and distribute that content solely as necessary to operate, promote and provide the Platform.
11.Third-party services and links
The Platform may rely on or link to third-party services, including payment service providers, cloud and hosting providers, email/SMS providers, analytics providers and venue systems. EventTix is not responsible for the acts, omissions, content, terms or privacy practices of third parties, and your use of any third-party service is subject to that third party’s own terms and policies.
12.Disclaimers
To the maximum extent permitted by applicable law, the Platform is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. EventTix does not warrant that the Platform will be uninterrupted, secure or error-free, or that any Event will occur as scheduled, be safe, or meet any particular standard, as Events are organised by independent Organisers. Nothing in these Terms excludes or limits any right or remedy that cannot lawfully be excluded or limited, including certain rights under applicable consumer protection law.
13.Limitation of liability
To the maximum extent permitted by applicable law, EventTix, its officers, employees and agents shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or goodwill, arising out of or in connection with your use of the Platform, any Event, or these Terms, even if advised of the possibility of such damages.
To the maximum extent permitted by applicable law, EventTix’s total aggregate liability arising out of or in connection with the Platform or these Terms shall not exceed the fees paid by you to EventTix in the one (1) month preceding the event giving rise to the claim.
14.Indemnification
You agree to indemnify, defend and hold harmless EventTix and its officers, employees and agents from and against any claims, damages, liabilities, losses and expenses (including reasonable legal fees) arising out of or relating to your breach of these Terms, your use of the Platform, or your violation of any law or the rights of a third party.
15.Privacy
Our collection, use and disclosure of personal information through the Platform is described in our Privacy Policy, which forms part of these Terms. By using the Platform, you acknowledge that you have read and understood the Privacy Policy.
16.Suspension and termination
You may close your Account at any time by following the process available on the Platform or by contacting us, subject to completion of any pending Orders, Events or payouts. We may suspend or terminate your access to the Platform, in whole or in part, immediately and without notice where we reasonably believe you have breached these Terms, engaged in fraudulent or unlawful conduct, or where continued access would pose a risk to the Platform, other Users, or EventTix. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification and governing law) will survive.
17.Changes to these terms
We may update these Terms from time to time. Where changes are material, we will provide reasonable notice, such as by posting a notice on the Platform or notifying you by email, before the changes take effect. Continued use of the Platform after the effective date of any update constitutes acceptance of the updated Terms.
18.Governing law and dispute resolution
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria, subject to any mandatory consumer protections available to you under applicable law.
19.General
- Entire agreement — These Terms, together with the Privacy Policy and any Event-specific terms disclosed to you, constitute the entire agreement between you and EventTix regarding the Platform.
- Severability — If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.
- No waiver — A failure by EventTix to enforce any provision of these Terms is not a waiver of that provision.
- Assignment — You may not assign or transfer your rights under these Terms without EventTix’s prior written consent. EventTix may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Force majeure — EventTix is not liable for any failure or delay in performance resulting from causes beyond its reasonable control.
